DataBot Labs LLC provides web development, managed hosting, technical consulting, API development, SEO and performance optimization, and design services. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate written agreement or proposal.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice, except where a separate agreement specifies otherwise.
3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information as required for the project
- Respond to requests for feedback, approvals, and materials in a timely manner
- Ensure you have the legal right to use any content, materials, or intellectual property you provide
- Pay all fees as agreed upon in the project proposal or contract
- Maintain the confidentiality of any login credentials or access we provide
4. Intellectual Property
Our Intellectual Property
All content on our website, including but not limited to text, graphics, logos, images, and software, is the property of DataBot Labs LLC and is protected by copyright and other intellectual property laws.
Client Work Product
Upon full payment for services, clients receive ownership of the final deliverables as specified in the project agreement. We retain the right to use general knowledge, skills, and experience gained during the project, as well as any pre-existing tools, libraries, or frameworks.
Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio and marketing materials.
5. Payment Terms
Payment terms will be specified in individual project proposals or contracts. General terms include:
- A deposit may be required before work begins
- Payment is due according to the schedule outlined in the project agreement
- Late payments may incur additional fees or result in work suspension
- All fees are non-refundable unless otherwise specified
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. This includes, but is not limited to, business strategies, technical specifications, customer data, and financial information. This obligation survives the termination of any agreement.
7. Warranties and Disclaimers
We strive to deliver high-quality services and will make reasonable efforts to ensure our work meets the agreed-upon specifications. However:
- Our services are provided "as is" without warranties of any kind, express or implied
- We do not guarantee that our services will be uninterrupted, error-free, or meet all of your expectations
- We are not responsible for any third-party services, platforms, or integrations
- We do not guarantee specific results such as search engine rankings, traffic, or revenue
8. Limitation of Liability
To the maximum extent permitted by law, DataBot Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless DataBot Labs LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Termination
Either party may terminate a project agreement as specified in the individual contract. In general:
- Written notice is required for termination
- Payment is due for all work completed up to the termination date
- Any deposits may be non-refundable depending on work already performed
- Upon termination, each party shall return or destroy confidential information
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in Florida.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
